1. Terms & Conditions — Orooba Fabrics: Commercial Terms for Trade Buyers
These Terms & Conditions establish the commercial relationship foundation between Orooba Fabrics (seller) and trade buyers (purchaser). By placing orders, purchasers confirm acceptance of these terms covering ordering, pricing, delivery, inspection, liability, and dispute resolution.

2. Ordering and Minimum Order Quantity
Orders must comply with applicable Minimum Order Quantity (MOQ) for selected fabric SKU. MOQs are specified in SKU documentation and adjusted based on weave complexity, printing processes, and finishing requirements. Buyers establishing ongoing supply relationships may negotiate customized MOQs through written agreements.

3. Price, Quotation, and Payment
Prices appear in formal quotations exclusive of taxes and freight unless explicitly stated. Quotation price validity periods are indicated; post-expiry prices are subject to revision. New buyers typically provide advance payments or deposits. Credit facilities may be extended to established buyers following credit verification and documented terms. Sales contracts specify accepted payment instruments.

4. Delivery, Dispatch, and Risk Transfer
Orooba Fabrics dispatches goods within agreed lead times where stock and production schedules accommodate. Large consignments may involve partial shipments invoiced separately. Goods risk passes to buyers upon dispatch unless different Incoterm or contractual arrangement is specified. Buyers assume responsibility for import duties, local taxes, and customs clearance for international shipments.

5. Inspection, Claims, and Returns
Buyers must inspect goods upon receipt, reporting any claim (damage, shortage, or non-conformity) within specified claim windows detailed in sales documents. Claims require supporting evidence and batch details. Following verification, Orooba Fabrics proposes remediation: replacement, credit, or refund depending on issue nature and scale.

Limitation of liability and indemnity
Orooba Fabrics' liability for claims arising from product defects or supply issues is limited to affected goods value. The seller bears no liability for indirect or consequential losses, including lost profits or business interruption, except where statute mandates otherwise. Buyers indemnify Orooba Fabrics against claims arising from fabric misuse or improper handling.

7. Governing law and dispute resolution
Governing Law and Dispute Resolution These terms are governed by Indian law, with disputes subject to Delhi court jurisdiction unless written agreement specifies otherwise. Parties are encouraged pursuing amicable resolution through mediation before initiating formal legal proceedings.
